Business Law
This area involves the planning, formation, operation, re-organization, sale, and dissolution of various business forms, such as corporations, partnerships, limited liability companies, joint ventures and sole proprietorships.
Commercial Law
This area involves assisting clients with secured lending transactions, Uniform Commercial Code transactions, and other aspects of general business transactions. The firm has represented various types of business clients, including banks and other financial institutions.
Labor and Employment Law
This area concerns representation in disputes arising from the employer - employee relationship. It also involves the avoidance of such disputes by the drafting and review of applications, personnel manuals, employer policies and other employer-employee communications to comply with all federal and state statutes.
Estate and Trust Administration
This area addresses the variety of legal and tax consequences and considerations which arise following a person's death, at which time our staff is equipped to guide the decedent's family and legal representatives. Likewise, as trusts have become widely used due to the flexibility they offer in personal planning, we advise our clients, both as beneficiaries and as fiduciaries, in all aspects of the creation and administration of trusts.
Litigation and Trial Matters
This area involves the resolution of disputes ranging from simple breach of contract actions to complex business and tax litigation. We are committed to the resolution, if at all possible, of disputes out of court but are fully equipped to represent our clients in lawsuits when necessary.
Non Profit/Charitable Law
This area involves the planning, formation and operation of charitable or non-profit entities including foundations and not-for-profit corporations.
Probate
This traditional term refers to the legal process of administering a decedent's estate, pursuant to the terms and provisions of his or her Last Will and Testament. It is actually a part of the larger estate administration practice of the firm which deals with all legal and tax considerations arising from a death.
Real Estate Law
This area involves both residential and commercial lease, purchase, and sale and financing matters, including negotiating and structuring like-kind exchanges under Section 1031.
Taxation
Many transactions by individuals and businesses alike raise federal and/or state tax implications. We assist our clients by helping them plan, interpret, and utilize the very complicated maze of federal and state tax laws. We are also involved in helping our clients deal with audits of their tax returns or other disputed issues with the taxing authorities.
Elder Law
This area addresses the many legal needs of mature adults, such as estate planning, long-term care planning (e.g. nursing homes, Medicaid and Medicare, long-term care insurance, etc.) and planning for incapacity and other health care decisions.
Estate Planning
This area involves the range of services from drafting a basic will to complex tax planning for large estates. Our clients typically consider wills, trusts, durable powers of attorney, health care powers of attorney, advance directives for health care, including living wills and/or health care proxies, and other documents and planning techniques in order to create a plan which addresses the various objectives and needs of their families. Specific areas may include "Q-TIP" or Qualified Terminable Interest Property trusts, irrevocable life insurance trusts, planning in relation to the generation skipping transfer tax, charitable gifting, irrevocable trusts, including "Crummey" trusts for children or special needs trusts for the benefit of handicapped or incapacitated individuals. We also draft Antenuptial Agreements for individuals prior to marriage, which set forth the parties understandings regarding marital rights and division of assets should a death or divorce occur.
Guardianships
This area involves court supervised management of the person and/or property of either a minor child or an incapacitated adult. The law provides for specific procedures concerning this process, and our firm possesses the expertise to help clients comply with the requirements of guardianship laws.
